Terms of Service

1. Overview
These Terms of Service ("Terms") govern your access to and use of the Quellba platform ("Service"), operated by Novascriptum LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
"Service" refers to the Quellba web application and related APIs. "User" refers to any individual or entity that creates an account. "QuickBooks Data" means the financial records and information accessed from your QuickBooks Online account through the Service.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old or the age of majority in your jurisdiction.
4. QuickBooks Connection and Data
The Service connects to QuickBooks Online through the official Intuit authorization flow. Your QuickBooks password is never stored by Quellba. You authorize us to access, read, and modify QuickBooks data on your behalf as necessary to provide the Service. You retain ownership of your QuickBooks data at all times. You may disconnect your QuickBooks company from the Service at any time through your account settings.
5. Subscription and Payment
Some features of the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be presented at the time of purchase. We reserve the right to change pricing with reasonable advance notice. Failure to pay may result in suspension or termination of paid features.
6. Refund and Dispute Policy
Quellba is a digital service and does not sell physical goods. If you believe you were charged in error or are unsatisfied with a purchase, contact us at support@quellba.com within 14 days of the charge. We will review your request and, if applicable, issue a full or partial refund at our discretion. Refunds are processed to the original payment method and may take 5–10 business days to appear. If you dispute a charge through your bank or payment provider, we may suspend access to your account until the dispute is resolved.
7. Cancellation Policy
You may cancel your paid subscription at any time from your account settings. Upon cancellation, your subscription remains active until the end of the current billing period. You will not be charged for subsequent periods after cancellation. No prorated refunds are issued for partial billing periods. After your subscription ends, your account reverts to the free plan and any features exclusive to paid plans will become unavailable.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt unauthorized access to the Service or its infrastructure; (c) interfere with or disrupt the operation of the Service; (d) reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service; (e) use the Service to transmit malicious code; (f) resell or sublicense access to the Service without our written permission.
9. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Novascriptum LLC and protected by intellectual property laws. Your use of the Service does not transfer any ownership rights. You retain ownership of the data you input into or retrieve from the Service.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service depends on third-party systems, including Intuit QuickBooks Online APIs, which may experience downtime outside our control. We will make reasonable efforts to notify users of planned maintenance.
11. Termination
You may cancel your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ceases immediately.
12. Data Handling Upon Termination
When your account is terminated or you disconnect a QuickBooks company, we will delete associated QuickBooks data from our systems within a reasonable period, subject to any legal retention obligations. Your QuickBooks data remains in your QuickBooks Online account and is not affected by account termination with Quellba.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.
14. Limitation of Liability
To the maximum extent permitted by law, Novascriptum LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold Novascriptum LLC harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
16. Third-Party Services
The Service integrates with Intuit QuickBooks Online. Your use of QuickBooks Online is governed by Intuit's own terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Novascriptum LLC operates, without regard to conflict of law principles.
18. Dispute Resolution
Any disputes arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration or in the courts of competent jurisdiction, at our discretion.
19. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
